If the distribution of shares is not equal, the remaining shares are distributed by lottery among those wishing to redeem them. The redemption price is the agreed-upon price between the transferor and the transferee, or if the transfer is without consideration, it is based on the value in the last financial statements of the share. The board must inform the shareholders of the transfer within two weeks from the transfer notification, similar to the issuance of a meeting notice. The information must include the redemption price and the deadline for submitting redemption claims. Shareholders must submit their redemption claims in writing to the company within a month of the board being notified of the share transfer. The redemption price must be paid to the transferee in cash or by a bank-certified check within two weeks from the redemption claim submission or must be deposited with the enforcement authority within that time. Disputes regarding the redemption right and the amount of the redemption price must be referred to arbitration in accordance with the Arbitration Act (46/28). This clause must be noted in share certificates, the share register, any interim certificates provided, and the share issuance ticket. |
